ABSTRACT OF MINUTES
OF THE 15th/21.5.2015 MEETING OF THE BOARD OF DIRECTORS

 

 Subject:     – Election of Vice Chairman of the Board of Directors.

                   – Appointment of Deputy CEO and assignment of competences.

                   – Formation in body of the Board of Directors.

                   - HEDNO’s Representation- Assignment of competences

 

The Board of Directors decided the election of the Member of the Board of Directors Mr. Ioannis Margaris, as Vice Chairman of the Board of Directors since the competences of the Chairman of the Board of Directors and the CEO coincide to the same person, as well as the appointment of the Member of the Board of Directors, Mr. Christos Spigos as Deputy CEO.   

 

According the above, the Board of Directors was formed in Body as follows:

1.     Chatziargiriou Nikolaos of Dimitrios, Chairman of the Board of Directors and CEO, Executive Member

2.     Margaris Ioannis of Dionysios, Vice Chairman of the Board of Directors, Executive Member

3.     Spigos Christos of Ploutarchos, Consultant and Deputy CEO, Executive Member

4.     Dimitriou Vasilios of Nikolaos, Consultant, non-Executive Member,

5.     Diamantis Stefanos of Panagiotis , Consultant, non-Executive Member,

6.     Komninos Konstantinos of Efstratios, Consultant, non-Executive Member,

7.     Masouras Konstantinos of Theofanis, Representative of the Employees, non-Executive Member.

 

Regarding the Assignment of competences – HEDNO’s Representation, the following decisions of the Board of Directors are in force and confirmed:

Subject:     Convocation of Ordinary General Meeting of HEDNO’s Shareholder

 

The Board of Directors decided the convocation of the Corporation’s Ordinary General Meeting that will be held at the Corporation’s headquarters in Athens, (20, Perraivou str & 5, Kallirrois str., 11743) on Tuesday 16th of June 2015 at 11:00’ and the invitation of the Unique Shareholder under the name of “PUBLIC POWER CORPORATION SOCIETE ANONYME”.

Subject:     Submission for approval of the Financial Statements for the period of 01.01.2015 – 31.03.2015, according to the International Financial Reporting Standards.

 

The Board of Directors approved the Financial Statements of HEDNO S.A. for the period from 01/01/2015 until 31/03/2015, concluded according to the International Financial Reporting Standards.

 

These Financial Statements include:

-  Statement of Income

-  Statement of Financial Position

-  Statement of Comprehensive Income

-  Statement of Cash Flows

-  Statement of Changes in Equity

-  Notes to the Financial Statements that constitute their indispensable part.

Subject: Contract no ΔΔ-187/2103152/14.12.2010 with “ATHONIKI TECHNIKI S.A.” for the implementation of the Project:  “NETWORKS OF CORFU AREA” of the Peloponnese-Epirus Region Department.

Increase of the price for the above mentioned Contract.

 
The Board of Directors decided the increase of the contractual price concerning the Contract ΔΔ-187/2103152/14.12.2010/ΣΕΕ-434 “Networks of Corfu Area” by             € 500,000.00, within the framework of the option up to 50% in article 36 paragraph 1 of the General Terms of the Contract, that is, increase by percentage of 9.04%, with the same terms and the same discount percentage of 21% of the Contract and simultaneous coverage of the relevant good performance letters of guarantee.

 

The total increase of the contractual price (€ 600,000.00 of the first approved increase and € 500,000.00 of the present decision) is formed in total up to                               €1,100,000.00, that is, percentage of 19.9%.

Subject:  Contracts of Distribution Networks Construction Works in the Administrative Areas of Distribution.

Extension of the in force period of the above mentioned Contracts.

 

The Board of Directors decided:

 

1.   The extension of the in force period (total deadline) of the existing 64 Contracts for Distribution network construction works mentioned below, which were signed based on the terms of the Call for Tenders  ΔΔ-185/16.03.2010, ΔΔ-187/10.06.2010 and ΔΔ-190/09.03.2011,for a period of one (1) month, that is, they will expire until  30.06.2015, with increase of the price within the option of  50%  in any contracting region, provided that there is need of increase for the works object within the framework of the contract:
